1.  In cooperation with the Client, design, create and post a web page/site on the World Wide Web.
2.  All work done by CLassy Computes will be completed in valid HTML 4.0. The page/s will become the property of *1 Client at such time as the full payment of $____.__ is received by CLassy Computes.
3.  Unless otherwise indicate this page/site will appear on one of the currently free web posting areas on the Internet.
4.  If so desired an independent host will be sought and space purchased for the *1 Client for an additional one time charge of $50.00, all cost and payments to the independent host will be the sole responsibility of the *1 Client.
5.  All art work is created and copyrighted by CLassy Computes and remains the property of CLassy Computes unless otherwise indicated.
6.  If so desired CLassy Computes will register the *1 Client's page/site with some of the most popular search engines in accordance to the following charges.

•  $15.00 one time submit to 100 search engines ____
•  $25.00 one time submit to 400 search engines ____
•  $35.00 one time submit to 400 search engines and Yahoo! ____
•  $45.00 one time submit to 1000 search engines and Yahoo! ____
•  $55.00 one time submit to 1550 search engines and Yahoo! ____
•  $95.00 one time submit to 1550 search engines and Yahoo! ____  Every month for 6 months! Protects your web site against search engines accidentally dropping you during a re-index and keeps your listing current for more than 6 months!
•  All packages include: Alta Vista, AOL Netfind, Excite, HotBot, Infoseek, Lycos, Netscape, Northern Light and WebCrawler.
•  Prices subject to change, notification with be made ASAP.

Any amendments made to this Agreement must be made in writing and with the full agreement of all parties involved.

One half of all fees are payable before work begins on the page/site with the balance due no more than five business days after the web site/page is posted. In the event that the balance is not received within five business days of the site being posted an additional fee of 20% will be added and the site pulled until such time as payment is received. (The client will be notified by telephone and/or electronic mail at such time as site is ready for viewing.) All Web Hosting fees and Search Registration fees must be paid in advance. All fees and deadline dates are to be agreed upon at the time this agreement is signed.

All parts of the requested web site, (photos, camera ready art, copy, etc.) and one half of the agreed upon fee must be received by CLassy Computes at least fifteen business days prior to requested completion date.   The *Client may request minor changes in the site after completion, however an additional charge may be made for extensive changes.  Color preferences, exact copy and any other wishes the *Client has, must be made in writing at or before the signing of this agreement.  CLassy Computes charges a standard $25.00 per hour fee for work beyond the scope of what was agreed upon.

If the *Client does not provide CLassy Computes with all parts necessary to create the agreed upon web page/s within twenty five business days of the signing of this agreement, the full and agreed upon amount becomes due and payable.

The code elements, custom images, backgrounds, etc. created for the *Client are based on techniques pre-developed by CLassy Computes and will remain the property of CLassy Computes.  None of which can be redistributed or reused without the express written consent of CLassy Computes.

The *Client must obtain all necessary permissions and authorities in respect to the use of all copy, graphic images, registered company logos, names and trademarks or any other supplied material, that is not of their own or CLassy Computes creation. Copies of all such permissions and authorities must be supplied to CLassy Computes for their records. The client represents to CLassy Computes and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to CLassy Computes, by them for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements.

A small link to CLassy Computes will appear at or near the bottom of the first page on the site. The link opens an additional browser window and will not cause users to leave the Client web site. This link may not be modified at any time without express written consent of CLassy Computes during the existence of the web site for public viewing. Additionally, design credits to CLassy Computes may also be in the HTML code of each page, which is hidden from normal view, and may not be modified at any time without express written consent of CLassy Computes during the existence of the web site for public viewing.

Links to your web page, site and/or art work will be placed at CLassy Computes main site at the sole desecration of CLassy Computes.

Cancellation of orders may be made by telephone or e-mail, within 24 hours after this agreement is signed and must be confirmed in writing. Cancellation made beyond this period will be billed in accordance to the work completed by CLassy Computes and at their sole discretion.

This Agreement shall claim venue and jurisdiction for any legal motion or claim arising from this Agreement.

*Client is encouraged to review the appearance and content of pages as they are posted on the world wide web. CLassy Computes will notify client by electronic mail or other agreed method. The materials will be considered accepted and approved unless *Client notifies CLassy Computes within 24 hours of notification of the posting.

By so signing this Agreement, Client___1* agrees to give CLassy Computes access to the any installed components and agrees that CLassy Computes shall have the right to remove that design from public posting for failure to adhere to the terms of this Agreement.

CLassy Computes cannot accept responsibility for any alterations caused by third parties or the Client occurring to the *Client's pages once they are posted on the Internet.

The parties have executed this Agreement on the date first written above and submit that they are able and have authority to enter into this Agreement.
